
These terms of use (“Terms”) govern your access to and use of Lawpair.com, including any websites, applications, tools, content, or services made available by Pair-X Technologies, Inc. and its affiliates (collectively “Lawpair”, “we”, “us”, or “our”. By accessing or using Lawpair.com or any websites, applications, tools, content, or services, whether now or in the future made available by Lawpair (collectively, the “Platform”), you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.
Any user of or visitor to the Platform (herein referred to as “User”, “you”, or “your”), by using the Platform, agrees to follow and be bound by these Terms and the privacy policy (“Privacy Policy”) which is incorporated herein by reference. Please contact our support team (info@lawpair.com) with any questions about these Terms of Use.
What Lawpair is (and is Not)
Lawpair is a technology platform that enables Users to discover, evaluate, and connect with attorneys, legal recruiters, and related service providers. Lawpair is not a:
law firm;
legal services provider;
lawyer referral service that shares legal fees; or
provider of legal advice.
Any legal services that are or may be provided through the Platform as solely by attorneys or law firms unaffiliated with Lawpair.
Accounts
You must be at least 18 years old and legally capable of entering into binding contracts to use the Platform. You may be prompted to create an account in order to access certain features on the Platform. If you choose to create an account, you agree to:
provide accurate and current information;
maintain the confidentiality of your login credentials; and
be responsible for any and all activity conducted using your User account.
Lawpair may suspend or terminate any account that violates these Terms or applicable law.
User Categories
The Platform may be used by multiple categories of Users including but not limited to: (i) individuals, (ii) businesses and non-profit organizations, (iii) attorneys and law firms, (iv) legal recruiters, (v) executive search firms, and (vi) alternative legal service providers.
A. Use by Individuals and Businesses
By creating an Individual or Business account (each a “Client User”), you understand and agree that Lawpair does not provide legal advice, recommendations, or opinions and that all decisions regarding the engagement of an attorney or law firm is made solely by you.
Lawpair does not guarantee attorney competence, availability, pricing, or outcomes. Any dispute between a Client User and an attorney or law firm must be resolved directly between any such Client User and any such attorney or law firm. Lawpair is not responsible for services rendered to you by any attorney or law firm, whether or not such attorney or law firm has an account on the Platform.
B. Use by Attorneys and Law Firms
By creating an attorney account on the Platform, you represents and warrant that you:
Are licensed as indicated on your account;
Comply with all applicable professional, ethics, and regulatory rules;
Are solely responsible for compliance with attorney communication, attorney advertising, and solicitation laws and regulations related to your practice; and
Have never been disbarred by the highest court of any jurisdiction.
By creating an attorney account on the Platform, you agree not to:
Misrepresent your credentials, licensing, or experience;
Violate the professional rules of conduct of the jurisdiction(s) where you are licensed to practice law;
Post false, misleading, or defamatory information; or
Use the Platform for any unlawful purpose.
C. Use By Legal Recruiters and Search Firms
By creating a legal recruiter account (on behalf of a legal recruiting firm, staffing firm, or other talent intermediary) on the Platform, you understand and agree that Lawpair does not (i) employ candidates, (ii) negotiate compensation, or (iii) guarantee placements. Recruiter account Users represent that they comply with all applicable employment, labor, and recruiter regulations and are solely responsible for required disclosures, licensing, and candidate consent. Lawpair makes no representation regarding (i) candidate availability, (ii) candidate qualifications, or (iii) placement timing or success.
D. Use by Law Students, LLM Candidates, and Recent Graduates
By creating a Law Student account, you understand and agree that the Platform is provided for career exploration, networking, and informational purposes only. The Platform does not constitute placement, employment, or legal training. Lawpair does not guarantee job offers, interviews, internships, or mentorship outcomes. Use of a student account requires that you not misrepresent your academic enrollment status, credentials, or experience.
E. Use By Alternative Legal Service Providers
These terms apply to non law firm legal service providers, including legal operations, compliance vendors, document automation providers, and consultants (“ALSP Users”). ALSP Users represent that they do not provide legal advice unless authorized by law and clearly disclose the nature and limitations of their services on the Platform. Lawpair does not monitor or supervise any service delivery provided outside the Platform. ALSP Users are independent contractors. No partnership, agency, or joint venture is created by or through these Terms. ALSP Users are solely responsible for their compliance with UPL regulations, consumer protection laws, advertising and disclosure requirements, and compliance with applicable law and regulations.
Accessibility
Lawpair is committed to providing reasonable access to the Platform for Users who require additional assistance due to disability, language needs, technological limitations, or other accessibility considerations. We strive to design and operate the Platform in a manner consistent with applicable accessibility standards, including where applicable the Web Content Accessibility Guidelines (WCAG). However, we do not guarantee that every feature or third-party integration will be accessible to all Users in all circumstances. Users who require additional assistance may contact Lawpair to request reasonable accommodations or support related to Platform access or use.
Requests may include, for example: (i) assistance navigating the Platform, (ii) alternative formats for certain content, (iii) support related to visual or auditory accessibility, and (iv) general language or usability assistance. Requests should be submitted to info@lawpair.com. Lawpair will review requests in good faith and determine, in its reasonable discretion, whether and how an accommodation can be provided. Lawpair’s delivery of any assistance related to the Platform is limited to User access to the Platform itself, and Lawpair does not: (i) provide legal advice, translation services, or professional counseling; (ii) guarantee accommodations by third-party professionals listed on the Platform (including attorneys, law firms, and ALSP Users), or (iii) control or supervise how attorneys, recruiters, and ALSP Users accommodate their own clients. Users are responsible for communicating any accommodation needs directly to third-party professionals they engage after using the Platform. Lawpair may update accessibility features and assistance processes over time as the Platform evolves. Continued use of the Platform constitutes acceptance of such updates.
No Attorney-Client Relationship
Use of the Platform does not create an attorney-client relationship between (i) you and Lawpair or (ii) you and any attorney on the Platform unless and until you separately agree to engage an attorney or law firm listed on the Platform. Any such engagement with an attorney or law firm described in part (ii) of the prior sentence is governed solely by a separate agreement between you and that attorney or law firm.
Billing, Subscriptions, and Changes to Plans
Certain features of the Platform are offered on a subscription basis (“Subscription Plans”). Subscription Plans may vary by User category, features, usage limits, and pricing. Lawpair reserves the right to modify, replace, or discontinue Subscription Plans at any time, subject to the notice provisions below.
Billing and Auto-Renewal
Unless otherwise disclosed at signup:
Subscription Plans are billed on a recurring basis (either monthly or annually).
Subscriptions automatically renew at the end of each billing period.
You authorized Lawpair to charge your designated payment method for all applicable fees, taxes, and charges.
You are responsible for maintaining current and valid payment information.
Changes to Pricing and Plans
Lawpair may change subscription fees, features or usage limits, and plan structures or tiers at any time. Changes will apply prospectively and will take effect (x) at the start of your next billing cycle, or (y) as otherwise disclosed at the time of the change. Continued use of the Platform after a pricing or plan change constitutes acceptance thereof.
Upgrades, Downgrades, and Plan Changes
You may be able to upgrade or downgrade your Subscription Plan through your account settings or by contacting Lawpair. Unless otherwise stated: (i) upgrades take effect immediately and may result in a prorated charge; (ii) downgrades take effect at the end of the then-current billing period; and (iii) no refunds or credits are provided for unused portions of a billing period.
Cancellation
You may cancel your Subscription Plan at any time. Cancellation will take effect at the end of the then-current billing period. Upon cancellation, access to paid features will continue through the end of the billing period, and no refunds will be issued for prepaid fees, except as required by law.
Failed Payments and Suspension
If payment cannot be processed:
Lawpair may retry the charge;
Access to paid features may be suspended or limited; and
Lawpair may terminate the account for continued non-payment.
In the event of any such termination or suspension, you will remain responsible for all outstanding amounts.
Promotional Pricing
Lawpair may offer promotional, trial, or temporary pricing in its discretion. Unless expressly stated in writing: (i) promotional pricing is temporary, and (ii) trial or temporary pricing may be modified or discontinued upon renewal.
No Fee Sharing or Professional Billing
All fees paid to Lawpair are solely for access to the Platform and related tools. Lawpair does not collect or disburse legal fees, bill on behalf of attorneys or service providers, or participate in professional fee arrangements.
Billing Disputes
Any billing disputes must be submitted in writing within thirty (30) days of the charge appearing. Failure to do so constitutes acceptance of the charge.
No Warranty
The Platform is provided on an “as is” and “as available” basis. Lawpair expressly disclaims all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. Lawpair makes no warranty that the Platform will be available on an uninterrupted, timely, secure, or error-free basis or that the Platform will provide satisfactory or accurate attorney profiles based on the search parameters provided by Users. Choosing to engage with an attorney whose profile appears on this website is done at the sole discretion of each User and at such User’s own risk. Lawpair shall bear no responsibility for any damage to your computer system or any loss of data resulting from the use of any materials or information obtained from the Platform.
Limitation of Liability
To the maximum extent permitted by applicable law, Lawpair shall not be liable for (i) any indirect, incidental, consequential damages; (ii) any disputes between Users; or (iii) any legal services provided by attorneys or other third parties through this website.
Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless LawPair Asset Holder LLC, its parent company, subsidiaries, affiliates, and each of its and their respective directors, officers, employees, contractors, agents, and representatives (collectively, the “Lawpair Indemnified Parties”) from and against any and all claims, demands, actions, suits, proceedings, investigations, liabilities, damages, losses, judgments, settlements, penalties, fines, costs, and expenses (including reasonable attorneys’ fees and costs) arising out of or relating to: (i) your use of the Platform, including your access to, reliance on, or inability to use the Platform or any services, content, or features made available through it; (ii) your User content, including any in formation, profiles, messages, listings, representations, or materials you submit, post, transmit, or otherwise make available through the Platform; (iii) your relationship to or interactions with other Users, including any actual or alleged professional services, employment relationships, engagements, negotiations, disputes, or transactions between you and any attorney, law firm, recruiter, client, student, or alternative service provider; (iv) professional services or conduct, including any actual or alleged legal services or advice rendered, employment or recruiting activities, alternative legal or professional services, violations of professional rules, licensing requirements, advertising regulations, fee-sharing prohibitions, or unauthorized practice of law restrictions; (v) violation of law or rules including any beach of these Terms, any supplemental terms, applicable laws, regulations, professional conduct rules, or third-party rights (including intellectual property, privacy, publicity, or consumer protection right); (vi) misrepresentation or omission, including any false, misleading, incomplete, or inaccurate statements regarding credentials, licensure, authorization, experience, services, pricing, availability, or outcomes; and (viii) regulatory or governmental actions, including inquiries, investigations, audits, or enforcement actions by any court, bar or attorney licensure authority, regulatory body, or governmental agency arising from your conduct, content, or use of the Platform. Lawpair Indemnified Parties reserve the right, at each (or any, or all) of their own option, to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate fully with such defense and may not settle any claim without Lawpair’s prior written consent. Your indemnification obligations will apply regardless of any allegation of negligence by Lawpair and will survive termination or expiration of these Terms.
Termination
Lawpair reserves the right to suspend or terminate access to the Platform by any User at any time, with or without notice, for violation of these Terms or for business reasons.
Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of New Jersey, without regard to principles of conflicts of law. Any dispute, claim, or controversy arising out of or relating to the Platform, these Terms, or your relationship with Lawpair (each, a “Dispute”) shall be resolved exclusively through binding arbitration. Arbitration shall be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted by a panel of three (3) arbitrators, take place in New Jersey (or remotely, as permissible), and be governed by the Federal Arbitration Act.
You may opt-out of this arbitration provision within thirty (30) days of your creation of an account or within thirty (30) days of your first use of the Platform by sending written notice to:

Changes to These Terms
Lawpair may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance.
